[Passed April 19, 1869.] IIEREAS, the persons hereinafter nam- ed, have formed themselves into a Company for the making and burning of Lime, and it is expedient that such company should be Incorporated: Be it therefore enacted by the Administrator of the Government, Council and Assembly, as follows, that is to say :— 1. Alexander M’Alillan, I’hilip Robert Blatch‘, Donald McKay, John .‘ilatheson, James Gregor McCallum, Thomas A Chandler, and John Hughes, their associates, successors or assigns, shall be, and the same are hereby declared to be a body corporate, by the name of the “ \Vheatley River Lime Company ;” and they shall be persons able and capable, in law, to have, get, receive, take, possess, and enjoy, houses, lands, ships, kilns, tenements, heredita- ments, and rents, in fee simple or otherwise, and 3130 goods and chattels, and all other things real, personal, or mixed, and also to give, grant, let, or assign the same, or any part thereof, and to do and execute all other things in and about the same, as they shall think necessary, for the benefit of the said corporation, and also they shall be persons able in law, and capable to sue and be sued, plead and be impleaded, answer and be answered unto, defend and be defended, in any courts of law and equity, or any other places whatsoever, in all manner of actions, suits, complaints, demands, pleas, causes and matters, whatsoever, in as full and ample a manner as any other or persons is, or are, in law, capable of sueing and being sued, pleading and being impleaded, answering and being an— swered unto, and also that they shall have one Common seal to serve for the ensealing all and singular, their grants, deeds, conveyances, contracts, bonds, articles of agreement, assign- ment, powers and warrants of attorney, and all and singular their affairs and things, touching and concerning the said corporation, and shall, at all times, have full power, authority and license, to constitute, make, ordain and es- tablish, such by-laws and ordinances as may be thought necessary for the good rule and govern- ment of the'said corporation: provided that tory or repugnant to the laws or statutes of this Island. II. The capital stock of the said corporation may consist of eight thousand pounds, divided into sixteen hundred shares of five pounds each. III. The said corporation shall have full power and authority to take, receive, hold, possess, and enj )y, in fee simple or otherwise, any lands, houses, ships, kilns, tenements, real estate and rents, to any amount not exceeding in value, the sum of five thousand pounds, and the said corporation shall have full power to sell, lease, mortgage, or otherwise dispose of said property and estate as it may deem preper. IV. Whenever one hundred and fifty shares of the said capital stock shall have been sub- seribed, a general meeting of the shareholders of the said company, or the major part of them, shall take place by notice through printed hand- bills, posted in at least six of the most public places in the vicinity of said shareholders, at least ten days previous to such meeting, for the purpose of making, ordaining, and establishing such by-laws, rules and regulations, for the good management of the affairs of the said corpora- tion , as the members thereof thall deem necessary, and also for the purpose of choosing seven di— rectors, being members of the said company, and holding not less than five shares in the capital stock of the said corporation, which directors so chosen, shall serve until the first annual meeting of the said company, and shall have full power and authority to manage the affairs of the said corporation, and shall com- mence the Operations of the said company, sub- ject, nevertheless, to the rules and by-laws of the said company, and to the regulations here- inafter made and provided. V. There shall be a general meeting of the members and stockholders of the said corpora- tion, to be annually holden on the second Saturday in January, in each and every year, at Wheatley River, at which annual meeting there shall be chosen by a majority of the said members and stockholders present at such meet- ing, seven directors, who shall continue in office for one year, or until others are chosen in their room.
