Maintenance and Improvement Reserve t
Provision is made for a maintenance and improvement; ra-
serve requiring each subsidiary company to set aside annu-
ally out of its earnings an amount equal to at least 9% of its
gross earnings for the purpose oi' maintenance, renewals and
additions tu properties. 4
-Class A Common Stock: 'ras cuss A common
stock is entitled to receive, after dividends on the Preferred
Stock, nomcumulative dividends at the rate of $1 per share a
year, when and us declared, and in addition, will share equally
with the Class B Common Stock, as a class, in the remaining
net earnings of the Corporation. In the event of liquidation,
after the rights of the Preferred Stock have been satisfied, the
Class A common stock will be entitled to payment up to $25
per share, and in addition, will share equally as a cless,with
the Class B Common Stock, in the remaining net assets and
funds of the Corporation. Class A Common Stock ia nan-
callable and has full voting power. Dividmds are bein paid,
bn the Class A Common Stock regularly at the rate ofgl per 1
share annually.
Earnings as stated above; aftu deducting the interest ro- F
qulrcment: on the Debentures and Dividend requirement on
the Preferred Stock, but before making provision for rcaervcs
and Federal taxes, are equal to approximately $3.58 per ahara
on the Class A Common Stock of the present issue.
The asset value, after deducting from the valuation as stated
above, the bonds and stock ot’ subsidiary companies outstand-
ing and to be outstanding, the Debentures of National Water
Works Corporation, and after making provision for tha
Preferred Stock at its full redemption price, il equal to ap-
proximately $7l per share of Class A Common Stock of the
present issue. ' ~ ' _
