July 1B. --(CP) — Publicity is the principal wea- pon by which the securities act, passed at the last session oi the United States Congress, seeks to save investors front being sold worthless stocks and bonds. But it also makes any fraudulent scheme or misleading wt perpe- tuated in an interstate sale of sec- urities a federal offense, and al- lows buyers to sue the issuers and underwriters if the latter make un- true statements or omit material facts in connection with the sale. The law actually began to take effect July ‘l. From that day on, issuers 0i securities were permit- ted to resistor their offerings with the Federal Tirade Commission. But after July 21,.they have no choice, must register issues before oiiering them to the public. ‘Ito register, the issuing firm must state to every “mater- iai" feet bearing on the soundness oi the offerings. Every principal official and the majority oi the di- rectors of the issuing flnn must sign this statement, and every signer will be liable for suits to . 5,. . . y. w 1 or bonds, 1f material facts are omit- ted or untrue statements are ln- cluded. Further, criminal action may be brought in eases oi wilfid The law does not guarantee buy- ere against loss. But it does make available to anyone who wants them the true financial facts oi the business behind the new is- sues. Securities now on the market are not touched by the law, and domestic public issues, securities of non-profit organizations, building and loan associations, etc, are ex- emipt. Special terms govern for- eign issues. This wire will give the public as efficient service as is obtainable in the financial centres themselves. As an example it is pointed out that orders for one hundred shares or more have been transmitted over this wire to New York, and the report of purchase or sale has been received three minutes from the time it was sent from Charlottetown. Johnson and Ward are the only members oi a stock exchange in Prince Edward Island and are the . Billion only ones giving quotation service to the public. 1'00 System used is the teletype, which presents the characters on a tape, similar to the ticker service in New York and Montreal. It is confidently expected that the firm will have every success in the new move.
