International Holdings Limited Notice of Meeting

NOTICE is hereby given that a special general meeting of the shareholders of INTERNATION- AL HOLDINGS LIMITED (here- inafter called “the Company”) will be held at the office of the Company at 164 Richmond Street, in the City of Charlottetown, Prince Edward Island, Canada, on the 6th day of January, 1959, at the hour of 10:00 o’clock of the forenoon, for the purpose of con- sidering and, if deemed advia~ able, passin“ resolutions appjov~ 1mg, sanctioning and confirming:

(1) Special By-law “A” approv- ing the acceptance by the Company of an Offer dated October 16, 1958. made by International Holdings Corp- oration, a corporation in. corporvated under the laws of the State of Maryland, United States of America, to purchase and acquire the undertaking, assets and business of the‘Company for the consideration, and on and subject to the terms and conditions set forth in such Oﬁfer; and

Special By-law “B” provid- ing for the voluntary wind- ing-4p and dissolution of the Company and the distribu- tion of its assets, in cash and in kind. among its shareholders, all in acconi- ance with the provisions and requirements of the said Ot- fer and under and subject to the provisions of the Winding-up Act of Canada:

and for the purpose of passing a resolution to ratify the action of the Company in approving an investment advisory contract to be entered into between Inter- national- Holdings Corporation and Schrcder Trust Company, New York, and for the purpose of passing such other resolutions in respect of. or in any way relating to, any of the foregoing matters as the shareholders pre- sent or represented at such meet- ing may deem appropriate.

Only shareholders of record on December 10, 1958 shall be en- titled to vote at the meeting.
