An Act to Incorporate the Queen’s County Agricultural Society- [Passed 19th April, 1869.]

HEREAS, Robert Poore Haythorne,

George Beer, Henry Longworth, Charles Palmer, James Colledge Pope, Alexander Robert- son, William Swabey, \Villiam S. McNeill, John Johnston, and David Mutch, and others, desirous of forming an Association, having for its object the improvement and furtherance of agriculture, in Queens County, in Prince Ed- ward Island, by holding Exhibitions of Live Stock, Grain, Seeds, Roots, Agricultural Imple- ments and other objects, offering premiums, disseminating accurate information affecting the interests of agriculture, and generally for pro- moting all other objects for the encouragement of rural and domestic economy, within the said County: Be it therefore enacted, by the Ad- ministrator of the Government, Council and Assembly, as follows :—

I. The said Robert Poore Haythorne, George Beer, Henry Longworth, Charles Palmer, James Colledge Pope, Alexander Robertson, IVilliam Swabey, William S. McNeil], John Johnston, and David Mutch, and such other persons as are now subscribers to this proposed society, or who may hereafter become subscribers thereto, ac- cording to such regulations and by-laws as shall be adepted by the said Society, in manner hereinafter enacted, are hereby declared to be a body politic and corporate, under the name of the “ Queen’s County Agricultural Society,”

'by which name they shall be a perpetual corpo- ration, and shall have succession for ever, and a common seal, with full power and authority to alter, vary, break and renew the same at plea- sure, and by the same name shall sue and be sued, implead and be impleaded, answer and be answered, in all Courts, both of Law and Equity, and be for ever able and capable, in the law, to purchase, receive, possess and enjoy, to them and their successors, any lands or hereditaments, goods and chattels whatsoever, and to act in all the concerns of the said body politic and cor— porate for the businesses and purposes for which it is hereby constituted as aforesaid, and shall have power, from time to time, in manner

hereinafter mentioned, to make such bye—laws and regulations for the better government of the said society as shall be required or seem necessary and beneficial, and to alter and repeal the same and make others in their stead ; pro- vided always, that the same be not contrary to the Laws of this Island or the provisions of this Act.

II. The first general meeting of the said Society shall be held within sixty days after the passing of this Act, at Scott’s Hall, in Kent Street,,in Charlottetown, or at such other place, and on such other day and time, as a majority of the above named persons shall nominate and appoint, and of which said meeting ten days’ previous notice of the time and place shall be given, by publishing such notice in two of the local newspapers published in Charlottetown. And at such general meeting there shall be chosen, by a majority present at such meeting, and entitled to vote, a President, three Vice- l’residents, and twelve Committee men, which said Presidents and Committee, and their suc- cessors in office, shall have power to appoint a Secretary and Treasurer, who shall receive and be paid such sum as the said President and Committee shall see fit, and such Secretary and Treasurer shall be removeable at pleasure, and, unless removed, shall remain in office until the next annual meeting of the Society.

III. The President, Vice-Presidents and Committee shall hold office for the year then next ensuing, or until the then next annual meet- ing of the Society.

IV. Seven members of the Committee shall be a quorum.

V. There shall be a general meeting of the members of the said Society held annually, on the Tuesday next preceding Easter Sunday, in every year, unless another day be nominated by the Committee, who shall have power to change the day of such annual meetings as they may think fit. Twenty days previous notice of all annual meetings shall be given by publishing the same in any two local newspapers published in Charlottetown.

VI. At the first general meeting of the said Society, a code of Bye-laws shall be made and adopted by a majority of members or persons present entitled to vote, and no bye-law or bye-laws shall afterwards be made, altered, amended, or repealed, except at a general
