of Article VII, relating to the duties of Directors, where it is specifically exacted that Directors duties apply only to "regular" meetings)..:; 3g,

It is proposed to amend article XV so that the phrase “at an annualvpr general meeting" shall be inserted between the words "resolution" and,"amend" in the first line thereof. The article would then read in part "The Society may from time to time, by resolution at a annual or general meeting amend its constitution providing... ( and continuing).

It is further proposed that where the words "monthly meeting" later in the body of the article, such words be changed to conform to the earlier proposals, and read "prior to that annual or general meeting".

The final part of Article XV reads that "any such amendment must be confirmed, adopted and ratified by a majority of at least fifteen (15) of the Society' membership in good standing". The phrase "a majority of at least fifteen of the Society's membership" is somewhat ambiguous and needs clarification. By definition, a "majority" means (1) the greater of two numbers; (2) the number greater than half; or, (3) the excess or the greater number over the remainder.

A close examination of Article XV leads to the conclusion that an . amendment to the constitution may be adapted by a simple majority of at least fifteen (15) members in good standing who are present at that annual or general meeting. The amended article XV would then read, "The Society may from time to time, by resolution at an annual or general meeting amend its constitution providing that notice of intent to do so setting forth the terms of the resolution is given in writing to the membership at least twenty one (21) days prior to that annual or general meeting, and any such amendment must'be confirmed, adapted and ratified by a simple majority of at least fifteen (15) members in good standing who are present at that annual or general meeting.“

ENVIRONMENTAL CALENDAR

November 13: Bob Bancroft will be the special guest speaker for a co-sponsored presentation to the members of the Society and the Island Nature Trust. His illustrated presentation on Wildlife Habitat Management in Your Backyard will start at 7:00 P.M. at the Farm Center on University Avenue. Refreshments will be served and admission is free.

November 15: Scott Makepeace and Dan McAskill will host an Island Nature Trust workshop on the identification and feeding of winter birds at the Lobster Shanty in Montague. It will start at 7:00 P.M. Displays will include mounted birds, various bird feeders, and food preference charts.

November 17: The Island Nature Trust's Seed Sale will be held at 7 locations across the Island.

November 17: The P.E.I. Potato Producers Association, with assistance from the Environmental Partner's Fund, is hosting a pesticide collection day to allow the safe disposal of agricultural pesticides which can no longer be used due to changes in registration status or which are unwanted. They will also accept unwanted lawn, garden, and household pesticides. For more information contact Thane Clark at the Potato Services Division, 836-5450.

November 24: The Central Queens Branch of the P.E.I. Wildlife Federation will be holding its wildlife dinner. Profits will be used to support the stream enhancement work of the Branch. The reception will start at 6:30 P.M. with the dinner starting at 8:00 P.M.
